Business Law
Katie advises on business formation, guiding clients in entity selection and structuring. She drafts and negotiates key governance documents, including operating agreements, bylaws, and shareholder agreements. As outside general counsel, she supports businesses with ownership transitions, employment agreements, and succession planning.
With significant expertise in mergers and acquisitions, Katie represents buyers and sellers through all stages of the transaction, from letters of intent and due diligence to negotiating purchase agreements and providing post-closing support. She also drafts and negotiates various business contracts, including distribution, subcontractor, and SaaS agreements.
Katie’s experience extends to loan documentation, assisting both financial institutions and businesses with loan structuring, as well as preparing and filing mortgages and financing statements. She also supports clients raising capital through exempt offerings, including private placement memoranda and Form D filings.
Real Estate Law
Katie regularly assists with commercial and residential real estate transactions, including drafting purchase agreements, conducting due diligence, and reviewing title documents. She also works with landlords and tenants on lease negotiations and drafting for commercial and industrial properties.
Estate Planning and Probate Matters
Katie helps individuals, business owners, and families with estate planning, including wills, trusts, and advance directives. She also provides estate administration services, guiding personal representatives and trustees through the probate process.
Katie’s holistic approach to legal services blends deep knowledge with a focus on client-specific solutions, ensuring effective outcomes and long-term client success.
