Biography

Ryan Leitch represents businesses and business owners including those in manufacturing, retail, distributors, software and technology, construction, sales, complex creditor’s rights, and other service industries in numerous business matters.

The variety of business matters includes: the sale, acquisition, merger and other related transactions, entity selection and organization, employment, loan transactions, contracts and agreements, disputes among shareholders/members, and business succession planning to assist owners in transferring/selling their business ownership to family members, employees, or outside purchasers.

Ryan also represents: individuals in estate and succession planning, including preparation of Wills, Trusts, Power of Attorney and health care designations; Pre-Nuptial/Pre-Marital agreements; and probate and administration of Wills and Trusts.

Ryan served as the Firm’s Managing Partner from 2002 through 2010, and on the Firm’s management committee from 2011 through 2012.

Representative Matters

  • Represented business owners in the organization, formation, funding, sale, purchase or merger of their businesses, and in the preparation of various types of business contracts and agreements.
  • Represented businesses and their owners in the sale or acquisition of a business interests ranging from a few million to tens of millions of dollars, and in excess of $100 Million.
  • Prepared estate and business succession plans to assist clients in achieving their objectives.
  • Assisted clients with preparation of their Wills and Trusts, to accomplish their estate planning goals.
  • Assisted clients in the administration of trusts and the estate probate process.
  • Represented clients in preparation of pre-nuptial/pre-marital agreements prior to marriage.
  • Represented construction contractors in negotiating contracts, handling lien claims, and resolving other construction-related disputes.
  • Served as lead counsel for a large hedge fund in a series of complex, multi-million-dollar business workouts and related business transactions.
  • Recovered a total of approximately $100 million on behalf of a Fortune 500 client through the enforcement of a series of loan guarantees.
